Québec City, Canada and Myrtle Beach, United States, September 23, 2019 – TSO3 Inc. (“TSO3” or the “Company“) (TSX: TOS) is pleased to announce that its shareholders have approved the previously-announced statutory plan of arrangement under the Business Corporations Act (Québec) pursuant to which a wholly-owned subsidiary of Stryker Corporation will acquire all of the issued and outstanding common shares of the Company for CAD$0.43 per share in cash (the “Arrangement“).
At the special meeting of shareholders of TSO3 held earlier today, the Arrangement was approved by 75.24% of the votes cast by TSO3 shareholders present in person or represented by proxy at the meeting.
The completion of the Arrangement remains subject to the satisfaction or waiver of customary closing conditions and the final approval of the Superior Court of Québec. The hearing in respect of the final order approving the Arrangement is scheduled to take place on September 26, 2019. Founded in 1998, TSO3‘s activities encompass the sale, production, maintenance, research, development and licensing of sterilization processes, related consumable supplies and accessories for heat-sensitive medical devices. The Company designs products for sterile processing areas in the hospital environment that offer an advantageous replacement solution to other low temperature sterilization processes currently used in hospitals. TSO3 also offers services related to the maintenance of sterilization equipment and compatibility testing of medical devices with such processes.
